Description and Requirements

JOB SUMMARY:

This position is responsible for supporting the Mergers and Acquisitions (M&A) process at Vertex. This includes assisting in the strategy, sourcing, evaluation, and execution of M&A, joint ventures, and strategic investment (VC) opportunities globally.

ESSENTIAL JOB FUNCTIONS AND RESPONSIBILITIES:

·   Supports the prioritization of corporate strategic initiatives.

·   Works closely with key executives and internal cross-functional stakeholders to perform financial and operational due diligence of target companies, and identify / resolve key transaction issues.

·   Acts as a subject matter expert on financial modeling and valuation.

·   Serves as a key point of contact to target company management and their advisors.

·   Stay abreast of industry competitors and trends by analyzing public filings / press releases, Wall Street research, and market intelligence reports.

·   Provides analytic support in planning and executing all facets of the M&A process including strategy, identification, assessment, due diligence, and deal closing.

·   Communicates regularly with cross-functional leaders during the M&A process to provide advice as well as ensure consistency of the process.

·   Helps to ensure a smooth transition from deal phase to integration phase by communicating any deal-specific issues arising from due diligence.

·   Maintains deal pipeline, track market M&A activity, prepare internal updates, and create deal review presentations for Vertex leadership.

·   Occasional business travel may be required.

·   Experience working in a demanding and fast-paced environment with highly motivated and driven professionals.

·   Superior analytical and problem-solving skills, fluency in performing rigorous financial, valuation, and other quantitative analyses as well as familiarity with both accounting and operating metrics.

·   Excellent oral and written skills to communicate complex issues and influence others.

·   Ability to handle projects with multiple workstreams as well as manage complex cross-functional projects with multiple stakeholders at both senior and junior levels.

·   Proven ability to learn quickly and work well under pressure with appropriate attention to detail.

·   Well-rounded interpersonal skillset with the capacity to build strong relationships with both internal and external stakeholders and their advisors.

·   Strong planning and organization skills and understanding importance of deadlines.

·   A passion for learning about new companies and technologies.

EDUCATION AND TRAINING:

·   Bachelor's Degree required in Finance, Accounting or similar quantitative field.

·   Six (6) plus years of M&A experience required in corporate development, investment banking, private equity, or Big 4 transaction advisory.

·   Software industry experience strongly preferred.

·   Or equivalent combination of education and / or experience.
